By accessing or using Vendor Lantern Cloud (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Vendor Lantern.
2. Description of Service
Vendor Lantern Cloud is a vendor intake and risk management platform designed to help security, compliance, and procurement teams manage vendor reviews, questionnaire workflows, and approval processes. The Service is provided as a web application accessible through authorized accounts.
3. Account Responsibilities
To use the Service, you may be required to create an account. You agree to:
- Provide accurate and complete information during account creation
- Maintain the security and confidentiality of your account credentials
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:
- Use the Service in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Service or related systems

5. User Content

You represent and warrant that you have the right to submit all User Content and that it does not infringe on the rights of any third party.

7. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We shall not be liable for any interruption or discontinuation of the Service.

To the maximum extent permitted by law, Vendor Lantern shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of or inability to use the Service.
10. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Indemnification
You agree to indemnify and hold harmless Vendor Lantern and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service or your violation of these Terms.
12. Changes to Terms
We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.
